These Terms of Service ("Terms") govern your access to and use of the website, services, and platform provided by Thirstcoin LLC, a Wyoming limited liability company ("Thirstcoin," "we," "us," or "our") at www.thethirstcoin.com (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Services Overview

Thirstcoin provides a platform for users to purchase Thirstcoin ("TC") cryptocurrency and access digital content galleries containing photographs, videos, and NFTs. We offer two methods of access:

Self-Custody Access: You may connect your personal cryptocurrency wallet through a standard wallet connector. We do not have access to your private keys under this method.

Custodial Account Access: You may create an account using your email address and name. We will generate and securely store a cryptocurrency wallet on your behalf. You may purchase TC through our integrated payment processor, MoonPay, and we will execute transactions on your behalf.

2. Eligibility

The Platform is available to users in the United States. By using the Platform, you represent that you are legally permitted to enter into binding agreements and that your use complies with all applicable laws.

3. Account Registration and Security

For Custodial Account users, you must provide accurate and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

For Self-Custody users, you are solely responsible for securing your wallet and private keys. We are not responsible for any loss resulting from unauthorized access to your personal wallet.

4. Custodial Wallet Services

If you use our Custodial Account service, you acknowledge and agree to the following:

Wallet Creation: We create and manage a cryptocurrency wallet on your behalf. We maintain custody of the private keys associated with this wallet.

Security Standards: We implement security measures consistent with CryptoCurrency Security Standard (CCSS) Level 1 and FIPS 140-2 Level 1 standards for the protection of custodial assets.

Key Export: You may request to view and export your private keys at any time. Upon export, you assume full responsibility for the security of your keys and wallet. We will provide appropriate warnings regarding the risks of self-custody.

Transaction Execution: When you purchase TC through MoonPay, we receive USDC on your behalf and execute a swap to TC in your custodial wallet. All onchain transactions are subject to a 1% Thirstcoin transaction fee.

5. Fees

Thirstcoin does not charge platform fees for purchases. However, you are responsible for:

MoonPay Fees: All fees charged by MoonPay for payment processing.

Onchain Transaction Fees: A 1% Thirstcoin transaction fee applies to all onchain TC trades.

Network Fees: Any blockchain network fees (gas fees) required to process transactions.

6. Third-Party Services

The Platform integrates with third-party services, including MoonPay for payment processing. Your use of such services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

7. Gallery Content

Access to Thirstcoin galleries is granted based on your TC holdings. Gallery content includes photographs, videos, and NFTs created by our international team of photographers and models.

All content in the galleries is the intellectual property of Thirstcoin or its licensors. You may not copy, distribute, modify, or create derivative works from gallery content without express written permission.

8. Prohibited Conduct

You agree not to: use the Platform for any unlawful purpose; attempt to gain unauthorized access to our systems or other user accounts; interfere with the proper functioning of the Platform; engage in market manipulation or fraudulent trading activity; redistribute or commercially exploit gallery content; or use automated systems to access the Platform without our consent.

9. Account Termination

You may delete your account at any time. Upon account deletion:

For Custodial Account users: We will provide you with your private keys, enabling you to maintain independent control of your wallet and any TC held therein. You may also choose to sell your TC prior to account deletion.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in prohibited conduct.

10. Cryptocurrency Risks

You acknowledge that cryptocurrency involves significant risks, including but not limited to: price volatility and potential total loss of value; regulatory uncertainty; smart contract vulnerabilities; network failures or congestion; and irreversibility of blockchain transactions.

Thirstcoin is not a registered broker-dealer, investment adviser, or financial institution. Nothing on the Platform constitutes investment advice. You should consult with qualified professionals before making any investment decisions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THIRSTCOIN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR CRYPTOCURRENCY, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Indemnification

You agree to indemnify, defend, and hold harmless Thirstcoin and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, violation of these Terms, or infringement of any rights of a third party.

14. Dispute Resolution and Arbitration

Binding Arbitration: Any dispute, claim, or controversy arising from or relating to these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wyoming, and the arbitrator's decision shall be final and binding.

Class Action Waiver: YOU AGREE TO RESOLVE DISPUTES WITH US ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR OTHER REPRESENTATIVE PROCEEDING.

Exceptions: Either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform with a new effective date. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Thirstcoin regarding your use of the Platform.
